General terms and conditions

(As of 2026)

1. General

1.1 These General Terms and Conditions ("GTC") govern the basis of all contractual relationships between SEOMNIA – FZCO (hereinafter "SEOMNIA") and its clients as well as job seekers (hereinafter "Candidates"; clients and Candidates collectively the "Contracting Parties"). They apply to all services relating to personnel search, selection, and placement — including related services such as the placement of job advertisements or the conducting of assessment centers (technical tasks and personality tests). These GTC further apply to all future contracts concluded within the scope of the business relationship, without requiring renewed express agreement.

1.2 SEOMNIA provides its services exclusively on the basis of these GTC. Deviating terms in a client's own GTC shall have no effect unless SEOMNIA has expressly agreed to them in writing.

1.3 A contract with SEOMNIA is formed in accordance with general principles of civil law — in particular through the signing of an offer or order confirmation, through agreement between the client and Candidate on the essential terms of an employment relationship of any kind (hereinafter "Employment Contract"), through the inclusion of a Candidate in the SEOMNIA database, or through the Candidate's actual commencement of work for the client.

1.4 Offers issued by SEOMNIA are binding for a period of two (2) weeks from the date of issue.

2. Disclosure Obligations and Liability

2.1 Clients and Candidates are obligated to provide all documents relevant to the search assignment in full and without delay, and to keep SEOMNIA continuously informed of all circumstances that could be relevant to the assignment. This includes, in particular, information about the client's business that may affect the place of work, scope of work, or remuneration of the Candidate placed, as well as information that only becomes known during the course of the cooperation.

2.2 If SEOMNIA incurs damages due to misleading, incorrect, outdated, or incomplete information provided by the Contracting Parties — in particular by concealing an existing direct application by the Candidate to the client — SEOMNIA is entitled to invoice the resulting expenses or frustrated search costs. SEOMNIA is under no obligation to independently verify the information provided by Candidates in application documents or social networks.

2.3 Unless otherwise agreed in an individual contract, SEOMNIA does not guarantee the success of a search, in particular not the successful completion of the search assignment within any specific timeframe.

2.4 Where suitable Candidates are found, SEOMNIA ensures that they hold the professional qualifications specified in the requirements profile. Any further liability is excluded. In particular, SEOMNIA is not liable for the work performance of placed Candidates or for damages arising from their conduct, lack of punctuality, or failure to appear. The client shall otherwise indemnify SEOMNIA against any third-party claims for damages.

2.5 The client is, in turn, obligated to verify the qualifications of the proposed Candidate and to raise any objections to deficiencies without delay. SEOMNIA shall only be liable in cases of intent or gross negligence; compensation for pure financial loss is excluded in all cases.

3. Special Provisions for Recruitment Services

3.1 The subject of the recruitment service is the search, selection, and nomination of Candidates who meet the requirements profile defined by the client. Search assignments may also be initiated on the basis of a need identified or presumed by SEOMNIA on the client's behalf.

3.2 The type and scope of the fee depend on the specific assignment. The specific terms are set out in writing in the offer and become binding upon order confirmation.

4. Data Protection and Confidentiality

4.1 The client undertakes to treat all information about Candidates provided by SEOMNIA as confidential and not to disclose it to third parties. The same applies to Candidates with respect to information they receive from or about the client. This confidentiality obligation applies both during the term of the assignment and after the cooperation ends — regardless of the reason for termination — and extends to any future cooperation, even where this is not expressly agreed in each individual case.

4.2 Clients and Candidates agree that their data, as it becomes known within the scope of the business relationship, will be stored internally and processed automatically by SEOMNIA. They further agree that this data may be shared for the purpose of establishing employment relationships or related contracts.

4.3 SEOMNIA assures all Contracting Parties that the information provided to it will be treated confidentially. However, SEOMNIA is entitled to engage knowledgeable third parties in carrying out the assignment, provided that such third parties are likewise bound to confidentiality.

4.4 Both SEOMNIA and the client are obligated to comply with the General Data Protection Regulation (GDPR) in its respective current version. All Candidate information must be treated as strictly confidential and must not be disclosed to unauthorized third parties. Upon completion of the search assignment, the client must delete all Candidate data provided to it by SEOMNIA.

4.5 Details on the processing of personal data can be found in SEOMNIA's privacy policy, available at www.seomnia.com/datenschutz.

5. Fees

5.1 Unless otherwise specified in these GTC, all fees become due upon conclusion of the Candidate's Employment Contract and are payable within fourteen (14) days of receipt of the invoice. In the event of late payment, SEOMNIA is entitled to charge default interest of 1% per month. Set-off against claims by SEOMNIA is excluded.

5.2 If a client, or a company closely connected to it through personal or economic ties, concludes an Employment Contract of any kind with a Candidate nominated by SEOMNIA — within two (2) years of the transmission of the Candidate's data, or within two (2) years of the termination of an existing employment relationship with that Candidate — the agreed success fee shall be payable to SEOMNIA based on the terms applicable at the time the contract is concluded. The client is obligated to inform any affiliated companies of this fee obligation; otherwise, the client shall itself be liable for any resulting claims for damages.

5.3 The client and the Candidate are obligated to inform SEOMNIA without delay — at the latest within seven (7) business days of signing the contract, or, if no written contract was concluded, after the Candidate's actual commencement of the employment relationship — of the conclusion of an Employment Contract of any kind and of all circumstances relevant to calculating the fee. Should this obligation not be met, SEOMNIA is entitled to claim, in addition to the success fee, a contractual penalty in the amount of 8% of the Candidate's gross annual target salary; the client and the Candidate shall be jointly and severally liable for this.

5.4 In addition to the agreed fee, SEOMNIA is entitled to separately invoice any expenses incurred as well as extraordinary additional costs (e.g. travel costs for Candidates, costs for external interviews).

5.5 Invoices will be issued exclusively in electronic form.

6. Termination of Contract

6.1 The assignment takes effect upon signature by both parties and continues until the advertised position is successfully filled. Either Contracting Party may terminate the assignment with one (1) month's notice, effective at the end of a calendar month.

6.2 In addition, either Contracting Party has the right to terminate the contract extraordinarily, with immediate effect, where there is a serious reason that makes continuation of the contract unreasonable and a written grace period of at least fourteen (14) days to remedy that reason has expired without success.

6.3 The following shall in particular constitute important reasons within the meaning of Section 6.2:

– failure to settle due, non-time-barred claims despite a fourteen-day payment deadline having been set;

– the opening of insolvency or liquidation proceedings against the assets of a Contracting Party, or the dismissal of such an application for lack of sufficient assets;

– a serious breach by a Contracting Party of its contractual obligations, in particular its duty to safeguard interests or its duty of confidentiality.

7. Final Provisions

7.1 Unless expressly stated otherwise, all amounts stated are net amounts, plus any statutory taxes and duties.

7.2 For all disputes arising from or in connection with contracts between the client and SEOMNIA, the courts of Dubai, UAE, shall have jurisdiction. Austrian law shall apply.

7.3 Amendments or additions to these GTC must be made in writing to be effective. This also applies to any waiver of this written form requirement. Written communications may be sent by registered mail or by email to the email address most recently provided by SEOMNIA.

7.4 Should any provision of these GTC be or become invalid, in whole or in part, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a legally valid provision that most closely reflects the economic purpose of the original provision.

7.5 For the sake of readability, generic language has been used throughout these GTC. All references to persons apply equally to all genders.
